Enerside closes an accelerated capital increase of €8M and welcomes new domestic and international institutional

STRENGTHENS ITS STRATEGIC PLAN TO DEVELOP BATTERY PROJECTS IN ITALY

  • A significant portion of Enerside’s shareholders and reference partners have taken part in this capital increase without preemptive subscription rights.

Barcelona, September 25, 2025. Enerside Energy, a Spanish company specialized in developing, building, and operating photovoltaic solar generation and battery projects, has successfully completed an accelerated capital increase of €8M, carried out through cash contributions and with the exclusion of preemptive subscription rights.

The funds will be allocated primarily to the development of agro-voltaic projects hybridized with batteries and stand-alone battery projects in Italy.

Additionally, this capital injection enables Enerside to strengthen the execution of its current 2025–2028 Strategic Plan to develop its own asset portfolio and consolidate itself as an independent power producer (IPP).

The capital increase was executed through an accelerated private placement aimed exclusively at qualified investors, coordinated and placed by JB Capital. The issue price of the new shares, which will begin trading next Monday, September 29, is €2.07 (par value plus share premium).

The transaction was advised by law firms Roca Junyent, on Enerside’s side, and Baker & Mackenzie, advising JB Capital. The agent bank was Banco Sabadell.

New Partners

A significant portion of Enerside’s shareholders and reference partners, such as the Laurion group and Alternative Green Energy (AGE), participated in the capital increase.

Among the top-tier investors joining the transaction are European funds as well as Spanish family offices, demonstrating confidence in the company’s growth. Enerside currently holds a project portfolio valued at more than €200M, according to an independent valuation carried out by a Big Four firm.

Its project pipeline includes 4.8 GW of photovoltaic solar energy and 13.2 GWh of battery energy storage systems (BESS), 61% of which are located in Europe, particularly in high-growth markets such as Italy.

Strategic Value in Italy

Currently, Enerside has a development pipeline in Italy consisting of 1.2 GW of agro-voltaic solar parks and over 11.2 GWh of batteries (BESS).

These assets in Italy are of high strategic value for Enerside, both because of their geographic location—mainly in the south of the country and in designated areas included in the Italian PNIEC—and because of their technological configuration, which combines agro-voltaic solar parks with battery storage systems, while also including stand-alone BESS projects.

These energy storage systems are precisely what is required in electricity transmission and distribution networks for the full deployment of renewable generation facilities, as they provide the grid with security and stability.

Enerside Italy has its own local team dedicated to the development of these projects and, in the past 18 months, has successfully completed the sale of over 500 MW of projects that were internally originated, developed, and designed.
